Ubuntu 16.04 Headless Server - Hangs VBox Guest starts

Installed VirtualBox 5.1.28 and Guest Additions in an Ubuntu 16.04 LTS Server. No GUI. Hardware: Dell FS7-NV12, with 2 x AMD QuadCore Opteron 2,.Mhz CPU, 64 GB RAM, 1 x PERC6 SCSI Boards, 8 SCSI HardDrives (300 GB each). AMD VT Enabled. VIrtualbox Server Works Ok. Managed remotely via Remotebox 2.23.
Exported an Oracle Linux 64 VM Manager 3.3 Appliance to OVA. The Appliance functions without issues in a Laptop with 1 x QuadCore Core I7 CPU, Ubutu Desktop 17.04, 8GB RAM, 128 GB SSD Disk. In this machine also have other appliances (Windows 7, Windows 10, Udbuntu Servers) all work without problems.
Imported the appliance in the Headless Server. VBoxManager starts the VMachine, no error messages. Suddenly the server hangs displays :'NMI WatchDog: BUG: soft lockup - CPU#0 Stuck for 22s'
Downloaded Oracle VM Manager Templates. Imported Ok, but same results when running.
