VBoxHeadless crashes when more than 2 VMS are started...

Hi ,
I have virtualbox 1.6.2 on a centos 5 box with 7 vms on it. when i start more than 2 VMs with headless option ie when i start the 3 rd vm then first vm crashes. Is there a limit on number of vrdp sessions? ( All the VMs have different vrdp ports).
The m/c is with 12 gig ram +quad cpu so i have ruled out memory and cpu ....
Also would like to know if there is a physical limit on number of VMs that can be run simultaneously.

Any input is highly appreciated...
