Fresh installation of Ubuntu, will Windows guest be affected

Hi,
I have Ubuntu 12.04 running on my laptop for some time now, I find that support for Ubuntu 12.04 is almost ended. I would like to upgrade to the latest version. I have Virtual Box 5.0 installed and running, I have a Windows 10 guest running on it, this is activated and running well.
My plan is to take a backup of the entire VM folder (contains XML file for the Windows 10 guest) and the vdi file for the Windows 10 guest, then I would like to format the hard drive and install latest versions of Ubuntu and VirtualBox, I will then paste back the VM folder and the VDI files (also the XML file).
In such a scenario will Windows 10 activation be required ? Will Windows 10 treat this as a new system and trigger an activation ??
This is vital for me as If it fails then I would have to buy another Windows 10 key, on the other hand Ubuntu 12.04 is fast loosing support, I am worried about losing all the security patches and updates on account of this.
