winxp guest wont boot

First time user
created a virtual (v2p from an older xp laptop hard disk..vdi)
it will only show the startup screen from xp and then go to blank.
it will responf to the f8 key and the same thing happens when I go to any of the safe modes)
any ideas as to what I am doing wrong,
will appreciate some feedback.

If "blank" means "black" then try toggling the IO APIC setting.
