I did uninstall but not from the command line. Anyways I ran the uninstall command from the terminal and that gave me the clue - when the uninstall error msg showed up.
Turns out the problem was /bin/rm which isn't the native rm program but was replaced by a "safer" version. I think I did that a while ago. I restored the original version and ran Vbox installation all worked fine. Sorry for the hassle and thanks for you time.

1. shutdown your Mac for 10-15 seconds, start your Mac and try and reinstall VirtualBox 4.3.20 again.
2. repair Disk Permissions.
3. create a new user with admin privileges, log in to that user and try to install VirtualBox.
4. if you had a previous version of VirtualBox installed, make sure you use the VirtualBox_Uninstall.tool to uninstall the previous version.
5. if you have an anti-virus program installed try disabling it first.

apparently you didn't go through 1-5
if none of those work, it is possible your 10.10.1 install is corrupted.
corrupted as in perhaps doing it to yourself by replacing /bin/rm

Actually I did go through 1-5, but step four was done with a double click instead of sudo in command line. When done with double clicking the terminal window flashed and went away quickly that's why I didn't notice that the uninstall actually failed - for the same reason the installation failed which was the non native 'rm' command. Anyways it's ok now.

I ran into a similar problem when attempting to install 4.3.20 on 10.10.1. My issue was that there was another admin account that sudo was attempting to use in the post flight script. The error message was that the other admin user was not in the sudoers file. I just removed the bad admin user and I was able to install without a problem.

I have the same problem. I have restored my OS twice recently for reasons I think unrelated to Virtualbox. I have Virtualbox on a dvd that came with my application, which is a catalog and repair manual which runs only on Windows. The first time I restored the system, I got an error from Virtualbox in startup and consequently reinstalled it with the DVD and it worked fine. During the first OS restore, I restored the my Applications from Time Machine and failed to fix the problem I was chasing. The problem (system running extremely slow) is now fixed, after the second OS restore. I am restoring applications one by one to locate the cause of the slowness and have gotten to Virtualbox. I have done the things recommended above and am still not able to install from the DVD, which I have used at least three times previous to this. Running 10.10.1

I thought I'd just go and get Virtualbox from the net and tried to download same from the Oracle site (I'm a new member and can't post URLs but I went to the one that ends with wiki/Downloads). The download starts up but then stalls. I have both an iMac and a MB Air and tried downloading on both with no success. It stalls out with at most 11MB downloaded. The last two were 580KB and 784KB!

Well, I am fixed. I got the VB to download with Opera and it installed fine! Don't know what worked but something did.
