Kernel panic - not syncing fatal exception during reboot

Hi,
I am facing "Kernel panic - not syncing: Fatal exception" during RHEL 5.3 x86_64 reboot.
Following are the steps performed till now:
1. Successfully installed RHEL 5.3 x86_64 OS in Virtualbox
2. Rebooted the Linux VM
3. Installed Linux Guest Additions. After this when I tried to reboot Linux VM, kernel panic issue occurred. Issue is persistent and Linux VM is not rebooting since then.
I created this Linux VM on 64 bit Windows 7 host machine, processor is Intel Core i5-3320M CPU@2.60 GHz, 8 GB RAM.
My Laptop model is HP EliteBook.
Virtualbox version is 4.3.12.
I need guest additions to be installed as I need to do Oracle RAC installation.
After reading few threads related to this issue, I tried with lower version of Virtualbox - 4.2.6 just in case to verify if its a bug related to particular release.
Still the same issue even with a lower version.
Tried with the settings as stated in one of the threads :
Go to your virtual machine -> Settings -> System
Then change Chipset from PIIX3 to ICH9 and enable "Enable IO APIC"
Still the same issue.
