The only way you'll get two VMs with the same MAC address is if you cloned a VM and chose not to change the MAC address. IP addresses are assigned by the DHCP server, or staticically inside the guest - not by VirtualBox.

Which means that there was no way I could have created a server with the same MAC and IP address just by going through the default steps in the gui and the OS install.
Now about that shared clipboad not working ......

Yes the problem or misunderstanding was because the two guests were actually the same guest. That part is clear now.
As for the clipboard question I will need to leave this to someone that uses Windows as host. I can tell you that on every occasion it has to do with some software conflict these days.

For the information of anyone that may answer this, the Windows 2003 R2 Guest machine has correctly implemented all aspects of Virtual Box Guest additions (including shared clipboard). However the new Windows 2008 R2 V machine did not correctly implement the shared clipboard although it implemented other attributes of Guest Additions such as Mouse pointer integration and Shared folders.
