Win2008 VM on Win2012 Host

I installed the latest version of VirtualBox on my 2012 machine, but it will not start. I just get a black screen and then the following error shows up:

Couldn't find the end of CPUID sub-leaves. (VERR_CPUM_TOO_MANY_CPUID_SUBLEAVES).

Result Code: E_FAIL (0x80004005)

Is this a known issue?
Also, it will not allow me to increase processors.
BTW, this was a VM that previously on a Win7 machine

If you are running hyper-v on the host disable it. If not then remove 4.3.8 and install 4.3.6 instead as there seems to be some issue on certain host machines.
