I am wondering if someone of you know a good P2V tool for VirtualBox and secondly that is able to update a vm with the changed data on the physical machine.

Since VirtualBox is an application there really are no P2V packages. There are however several available for Windows, Linux, Etc. Perhaps if you share which OS your are trying to visualize we could narrow it down a bit.
