Windows 8.1 host & Ububtu x64 12.04 LTS guest

So, system is: amd a8, 8gb ram, win8.1 x64, last version of virtual box
guest is: ubuntu desktop 12.04 LTS x64
all configuration of virtual machine stayed by default(ubuntu x64), but, VM`s hangin up at "creating mount point" or "remove cd" or if rebooted after installation normally hanging on startup with message like "vibox guru meditation"
twice i have lucky and system(ubuntu) instaled and work propertly, but i have not understand what is the key of configuration helps me:)
is someone have some experience about this?
UPD: ubuntu desktop 12.04 LTS x32 died same as x64
UPD: if use "live mode" and start ubuntu from cd it works....
UPD: Yeeeeep, working configuration if VM is: sourcce ubuntu64(default)
MB:PIIX, usb tablet, turned off I\O apic, EFI, UTC, 2gb of ram, 1 cpu, turned off PAE\NX, enabled VT-x\AMD-V, disabled nested pagging
Display: 64mb, turned off 3d 2d
Storage: turned on cache on hdd and cd(hdd in sata-ahci mode), hdd dynamic sized, 20 gb
Sound, Net, Com, Usb - by default
EXT pack installed
Ubuntu installing - doot up, choose try, from booted up system installing
UPD: simply installing works 2
UPD 05.11.2013: final config is
ram 1 gb and more, if less crashes, chipset any, IO UEFI UTC - any, cpu - any, VT-x/AMD-V - enabled, NENTEST PAGING MUST BE OFF in this config
all other configs do tot take serious problems, Vram not smaller 16 Mb if GUI needed
it`s for Ubuntu x64 Desktop LTS 12.04.3 soon be tests of server:)
