I have Virtual box version 4.2.8.
What are are the benefits upgrading to 4.2.18?
How to upgrade- uninstalling old and installing new
or installnew which will upgrade old.

It would be mainly bug fixes. Unless you have an issue, there is no real reason to change.
On the other hand, 4.3.x is coming out soon. Once there is a proper release, you could do the upgrade.
Better to uninstall the old one than install the new one. You'll keep all your VMs and all the config should be picked up directly.
