Moving existing machine to VirtualBox VM

Hello,
We have a VPS box somewhere, which has CentOS 5.8 x86_64 installed, we have root ssh access.
We need to clone this entire machine as VirtualBox VM in a local machine, run it as the same system; only hostname, network configuration, memory and mount points should be changed.
Suppose I have tarballed the entire / directory and downloaded it. How can we load it as a VM in VirtualBox? Is it possible?
Host operating system can either be ubuntu 12.04 x86_64 or windows 7 x64.
