Well, IMHO you've given far too much host RAM to this VM, leaving little to the host. You've also allocated 4 CPU cores to the VM, leaving none for the host (log says Intel i7-2820QM CPU). I would reduce the RAM allocation to 2GB, and try a single CPU core. Personally I would also disable 3D acceleration if you want to use seamless.

8 gig host ram, way more than enough.
8 cores on host, way more than enough.
Works fine on VMware Fusion with same settings.

If you already know the answers, why ask the question?
The log file you posted shows how much available RAM you have. The amount you installed is not relevant. Specifically it shows that you have 4856MB available RAM, hence 3GB is a large proportion of that.
Intel says that your CPU has 4 cores, plus hyperthreading. The hyperthreading is not relevant. It should be self evident that if the cheaper option of hyperthreading was just as good as real cores, then nobody would need real additional cores.

You say this works on VMware, did you remove the VMware additions before running in VirtualBox?

And lastly did you install the VBox guest additions and select the wddm drivers?
Also seamless with 3D has never work correctly in any OS. Does full screen work as expected?

Seamless is fine once you are there. I can save the machine state and restore without issue. The problem is worse in full screen,
