As outlined HERE, an in-place upgrade of an OEL Guest will fail.
While FB's fix seems simple enough, it doesn't work with VBoxHeadless guests, as Remote Desktop Protocol will not pass Ctrl+Alt+F2 to raise a TTY to login as root and run the 1 simple command.
Is there any other way to save my OEL on a headless Host?

The guest is stuck in init 2.

Fix is to revert to VBox 4.2.6 and use ZFS snapshots to take things to before the OEL upgrade attempt, recover any important data, destroy the VM to free up resources, and carry on.
It's been 11 days with no joy, and I've more important things to do with my time.
