Cannot ping/rdp Windows XP VM over Bridged Network...

VirtualBox Version 4.2.6.r82870
Windows XP Pro 32 SP3 + all updates for both Host and Client.
Guest Additions are installed.
Network settings:
Attached To: [Bridged Adapter]
Name: [only one name exists, only one nic on the physical box, and its description matches]
Promiscuous Mode: Allow All
Cable Connects [x]
The client can see the internet without issue.
The client and host both successfully DHCP'd to the same DNS/Gateway/Subnet.
The client and host have different IP and Mac Addresses. (from ipconfig /all)
the client and host both have the firewall off.
my host *cannot* ping the client IP address.
the client *can* ping the host IP address.
Any idea why Nothing can see the client machine (from host or other machines on the network) ?
Please note, I have searched this forum, and many others, and tried several things, including the MTU fix, with no luck. To be fair though, my searches tended to yield poor results, and perhaps I'm just not pegging the right keywords.
