Critical error running Ubuntu on Win7

I have been trying to run a virtual machine on my windows PC and encountering erros.
The virtual machine is one my company use for builds on Linux servers, but I have more power in my Win7 box so thought I can just run it on my deskop.
I imported the virtual machine from an OVA file, and fiddled around with permissions etc to get it going, as Ubuntu 10.04 LTS this works but is slow, really slow. I figured because I only assigned 3 GB or RAM, the std linux on the VM would not support more than 4 GB, so I tried the PAE kernel and just got critical errors if I tried to start with more than 4GB.
I know 12.x support PAE 'out-of-the-box' so I just let the VM upgrade itself to the latest LTS.
I get the same error at startup with more than 4GB assigned, with and without PAE, but lets set that aside for now.
With the latest LTS I get critical errors while the VM is running, I have attached the logs which I hope make more sense than I do.
