Hi,
What do you mean by "migrated"?
I've just started testing with VBox, coming from VMware, and I just copied the VMDKs (after removing the VMware Tools while running under VMware Workstation) over and then I create a new VBox guest, then I just configure the guest to point to the VMDK.

Hi Jim
By migrated I mean that I have open vmdk file with help of VBox.
My VMware installation was having problem. so I tried to open vmdk file with VBox but all files are opening readonly mode.

Simply using your VMDK file from VMware to Virtualbox will cause issues, and you should ensure the following before trying anything :
1. Ensure that your VMware machine settings and Virtualbox machine settings are matching (HDD controller, etc)
2. Remove VMware additions
3. You need to ensure your boot loader is ready for such operation : cannot be hard-linked to a UUID/name and position in your storage controller.
I believe what you are experiencing is linked to point #3 and possibly #1 - you need to fix your boot loader.
