CO_E_SERVER_EXEC_FAILURE (again)

Hi,
Running VBox 4.2.4 on a Windows 7/64 host. Everything is OK until I run a VM using VBoxHeadless, then VirtualBox and/or VBoxManage consistently fail with CO_E_SERVER_EXEC_FAILURE. If I kill the VBoxHeadless/VBoxSvc tasks using task manager, then it's all OK again.
An ideas would be appreciated.
