Well, I see much nothing wrong in the logs, e.g. you are not short of memory in the VM. I see that you have set 256MB of display RAM? How did you do that? (128MB is the normal max).
I see also that you seem to be using the experimental WDDM display drivers inside the guest. It's possible that the experiment simply doesn't work on your host. There's bound to be a BugTracker ticket raised about that already, perhaps you should join that discussion.

I'm not intentionally using an experimental display driver. I'm using any driver, for that matter. I've just turned on the WDDM driver & it chose itself. I've turned down the amount of RAM to 128MB. I'll join that discussion, but I'm not sure there that is.

I wanted to update this just in case others have this problem. Since you told me about the 128MB graphics setting that I had been using 256MB for, I changed my graphics card settings on the guest to use 128MB & THAT makes a BIG difference. I very seldom have the flickering graphics problem now. I thought it was gone all together, but I have had it once. When I had the problem, I just rebooted the VM & things worked fine again.
Of course, now that I've posted that things are fine... Well, we all know what's going to happen now...

Just to point out the reason for the 256MB vRAM. It is for when you have multiple monitors.
Also I run all experimental and build my own from SVN. From what I see things are looking really good and most if not all of your issues should become moot when they release the next major build.
