I'm completly new with virtualbox and would like to use it to use it as a development box (like much other users I suppose).
We have a dedicated server with Ubuntu 10 and since we're going to introduce very big changes in the website and databases,
we want to convert it into a virtual machine, do the tests and changes and if it works fine, replicate it to the production server
(or perhaps convert it from virtual to real box).
How can I convert the real machine to a virtual one?

You should search using the terms p2v for physical to virtual and v2p the other direction. Plenty has been discussed here about it.
