To update, do I have to uninstall the older version and set up the new one all over again?
Is there no other way to install an update?

VBox: 4.1.0
Mac OS X Snow Leopard host
and Windows XP SP 2 as guest

You can update without needing to uninstall the old version. But even if you do uninstall the old version it does not remove the settings files or the vdi file that contains your Windows XP SP2 guest. In either case you do not need to set it up all over again. It is advisable to make a backup of the VirtualBox folder that contains your guest. Make sure the guest has been completely shut down using the Windows Start menu before doing the update.
