Win7 64-bit Guest crashes whole system

I am encountering whole system restarts when running Win7 64-Bit Guest for about 5 minutes. The crash is not tied to a specific action or load on the Guest, it appear intermitten. Here is my system profile:
* Dell E6410 laptop with Intel I7 quad core
* Virtualbox 4.0.12
* Host OS: Win7 32-bit
* Guest OS: Win7 64-bit

I have tried most 'system' settings, including changing number of CPUs, RAM, etc. I even upgraded the Dell BIOS to newest version.

This same software setup worked flawlessly on an old HP Laptop.

Please let me know if you have advice to the fix.

I've got nearly the same problem and just so happen to be using the same E6410 (although with core i5 M520 ; 4gb ram) laptop w/Windows 7 32bit. The guest is actually 64bit ubuntu however. This is happening on the older virtualbox 3.X version.

The crash is basically a sudden reboot with no dump file ever being created. There is a kernel power entry in the event log. As far as I can see i've updated everything like bios, nic, audio, chipset, etc. I also removed cisco vpn software w/no luck (suggested in a another 6410 thread).
