OSX 10.6.8 Windows 7 Guest problems with bridge networking

Hello,
I've got a strange problem with my windows (2xWindows 7, 1x Windows 2008R2) guests on my MAC PRO host.
The problem ony occurs using bridge networking (NAT is working well but not an option in my case).
Problem: The guest has no network access at all... Donig a wireshark trace on both the host and guest I could see that packets from the guest are transmittet form to the host and form there to the destiantion. The answer packet is transmitted from the destination to the host and from there it never reaches the guest...
For example (ARP):
ARP Req. Guest -> Hosts -> Dest.
ARP Repl. Dest -> Host ----- nothing.....
So, if I'm running wireshark on the guest (yes, I have changed the networking settings to allow promic.mode) I don't see any incoming packets and no broadcasts...
What I have done so far:
- used to other gbic card in my mac-pro
- reinstalled osx (erased the hd before)
- setup a completly new guest os (win 7 32 Bit)
I have no further idea on what I'm doing wrong...
