Host Win7-64bit, Guest Win7-32bit, Guest BSOD on boot

Hi everyone... I was running VirtualBox 3.x and upgraded to 4.x and ran into issues w/ a VM. I rolled back, then waited a couple releases, and now I've installed 4.0.10 and I'm getting a BSOD again.
From BSOD:
Any ideas?? If nothing else, what are some keywords I can google? Is there a diagnostic log I can review?

From BSOD:
After some digging, I come across a blurp that says it's most likely NTFS related:*** STOP: 0x00000024 (0x00190494, 0x81235980, 0xC0000102, 0x00000000)
The VM works with VB 3.x and the VHD can be read via Disk Management on the host. The VHD works with Virtual PC 2007. At this point I'm unsure what to even google for anymore... I've tried various mixes of keywords and the hex codes. I've toggled various settings in the host like trying to use IDE instead of SATA. My instinct is that there is some kind of SATA driver that needs to be installed on the Guest, similar to how an installation of XP to a SATA drive can BSOD when the drivers aren't available or slipstreamed. Other ideas, maybe an advanced version of the intelppm regedit fix? Perhaps I need to use BCDEdit on the Guest OS? Another odd observation... I can't get to Safe Mode?!? Since the VM itself isn't crashing I don't know if the logs will be helpful. It seems the host is doing it's job and it's the guest that is crashing. But then again, the VM worked with VB 3.x, so there must be a change in VB 4.x?http://aumha.org/a/stop.htm
A problem occurred within NTFS.SYS, the driver file that allows the system to read and write to NTFS file system drives.
