No network ("Limited Network Connectivity")

Hi All,
I am hoping someone here can help me with this as I have tried everything I can think of, and googled for days for a solution...
Virtualbox 4.0.6 r71416
HOST: Windows Server 2003 64bit. This runs our Active Directory and domain controller.
GUEST 1: Windows Server 2008 SP2 32bit
GUEST 2: Ubuntu Server 10.10 32bit. Everything working fine, including bridged network
Guest 1 & 2 were originally created under MS Virtual Server 2005 R2, but as our Ubuntu VM kept freezing we decided to move across to Virtualbox. As guest 2 is running just fine in Virtualbox, including bridged networking, all references below to "the guest" are for Guest 1, Windows Server 2008.
-firewalls are turned OFF in guest and host.
-network drivers are OK for Intel Pro 1000 MT Desktop and MT Server), that is, the are showing as being correctly installed in Device Manager. The guest does not have the drivers for the Pro 1000 T Server adapter, and when I try to use the install package from the Intel website I get "Cannot install drivers. No Intel(R) adapters are present in this computer" (the device hardware id shows ven:8086, dev:100F)
-I have tried completely removing network devices and allowed a reboot to re-detect the hardware. Also removed hidden network adapters revealed via "set devmgr_show_nonpresent_devices=1".
-Have tried dhcp and static/advanced connections. DHCP fails to locate our dhcp server and falls back to a 169.... address (I forget what this is called), and static settings still do not connect to the network or internet even when the dns settings are entered.
-I am nnable to get Guest Additions to work. It installs OK, but I cannot get the guest VM to boot once it's installed, and I have tried installing from safe mode too. The VM just stalls without and error at the first Windows boot screen with the graphical progress bar.
-Microsoft's virtual pc "guest additions" has been uninstalled
-I have tried bridged, nat and host only connections
-perhaps the cause is because we moved MVs from Virtual Server 2005 R2 to Virtrualbox
-The guest is installed with IIS 6 and Team Foundation Server, though this shouldn't matter.
-The guest network works fine when run from MS Virtual Server 2005 R2. Even the instance that we are trying to get working with Virtualbox.
-I have uninstalled/reinstalled virtualbox with reboots in between.
-The Virtualbox bridged network protocol has been added to the host network adapter and is enabled.
If there's any important info I've neglected please let me know, and any and all suggestions are welcome.
