Ubuntu 10.10 Running quite slow...

Hello, I am running Ubuntu 10.10 on Virtual Box 4.0.4. And I am noticing some really sad performance... I have installed the latest guest additions, and have no desktop effects enabled. I will list my Host Specs and Guest Specs bellow...
Host PC :
CPU : Pentium 4 Single-Core (2.80GHz)
RAM : 2GB DDR2 1333MHz
HDD : 40GB 7200RPM
Video Card : Nvida Geforce 210
ACPI Enabled? : Yes
Operating System : Microsoft Windows XP, SP3
Guest PC :
RAM : 756MB
HDD : 12GB
CPU : Single Core
Video Card : 128MB, Single Moniter, 3D Acceleration On
ACPI Enabled? : No
When I am not running the virtual machine I have 1500Mb Of Ram free, when running the virtual machine I have about 600MB Avaible, that should be enough to run XP on any computer...
I have all updates installed...
I have noticed that my Host PC CPU is really active... always around 85%
My PC isn't overheating... and the only program I have open is a memory cleaner (So I can watch my ram...).
Any Help would be nice.
