64 Bit Question/Failure

Hi
I have a number of Dell PowerEdge Servers (Various models) running Xeon E5405 or E5520, depending on the Server. I was using Hyper-V but recently decided to switch to VirtualBox because of Hyper-V's limitation on CPU's.
I have gone into BIOS on all serers to verify that Virtualization Support is turned on under the processors, and it is. I reboot, create a virtual machine, but the ability to select more than 1 process or is grayed out (and of course the message says that it requires Hardware Virutalization Support, which is ALREADY TURNED ON!!!)
So I reboot and DISABLE Virtualization Support in the BIOS, and log back into VirtualBox and I can now select multiple CPU's. I also get an extra Tab, Acceleration, where there is an option to Enable VT-x.
But when I boot I get verr_vmx_msr_locked_or_disabled which seems to make sense, since I had to disable Virtualization in BIOS to be able to select multiple CPU's.
So I reboot and ENABLE Virutualization Suppor, only to find that my CPU has now been switch back to 1.
So my question is - What gives? What am I missing? What did I do wrong? Was it not meant to be??
