win2k - genhc.sys device driver could not be loaded

i used vboxmanage to install win2k-sp4 guest.
VBoxManage modifyvm "win2k" --memory 256 --acpi on --boot1 dvd --nic1 nat --vrdeport 3390 --vrdemulticon on

and then, i installed usb server but failed to start with this error msg:
\systemroot\system32\drivers\genhc.sys device driver could not be loaded. error status was 0xc0000034

if i use graphical mode to install, no such error.

pls advise what parameters may be lacking in the vboxmanage command.
