I also had the same problem with upgrading guest editions to 4.04
Fixed by:
Uninstalled avira antivirus re-installed GE 4.04 and all works.

I entcountered the same problem with VBox 4.0.4. Installing Avira Antivir Free on an Virtual Windows XP SP3 causes a bluescreen while booting Windows. Surprisingly this happens on my PC with AMD-CPU (Phenom II X4) only. The same VM on PCs with Core i5-750 an Core i3-UM boots without problems

I think I found by coincidence a way to install Antivir on Windows XP SP3 Guest and GA 4.x.x.
The VM has to be created with just ONE CPU and DEACTIVATED IO-APIC and PAE. AMD-V and Nested Paging are actived.
Then I installed Windows, all Updates, then the GA and finally Antivir. Antivir should start its components without a restart, so if there is no sudden reset of the system, it works. I haven't tested another installation order, yet.
After that, there can be assigned more than just one CPU to the VM with an ACTIVATED IO-APIC. The same procedure with more than one cpu assigned at the beginning of the installation fails.
I tested this two times, it would be great if someone could test it, too.

I also have the exact same problem:
Upgraded to 4.0.4 - no problems with guest additions 3.2.8
Upgraded to 4.0.4 guest additions - BSOD as formally described.
I also have an AMD Phenom processor - P920 Quad Core
Running Win 7 64bit Home Premium
Guest: XP sp 3
Gonna try uninstalling Avira AntiVir 1st and see what effect that haves.
Update 1: Uninstalling Avira Antivir fixes the problem.
Update 2: Works fine with MS Security Essentials and Avast!.
