Make sure that PAE is turned on in the guest settings.
Plus you should free up a little more memory, at least until the install is finished "Host RAM: 2037MB RAM, available: 888MB"

I seem to have a somehow similar error.

Host: Ubuntu 10.10 Desktop
Guest: Ubuntu 10.10 Server
Vbox drivers installed on host and guest, seem to work fine.

Everything seems to work fine, except: sometimes the guest completely hangs. Black screen. Have to turn off guest and switch it back on. After reboot the guest-logs show nothing special. Just like someone pulled the powerplug minute X.

I found out something interesting: My Host boots from Harddrive 1 (SSD), Virtualbox 4.0.0 is installed on that disk. My guest .vdi (20 GB) is on a secondary harddrive (5400rpm), which I use for storage (and stuff). When I use that secondary harddrive intensively (ie copy a 50 GB file to another name on the same disk) the Vbox Guest sometimes crashes with Kernel Panic and/or says "filesystem is readonly" (security-function: it switches the filesystem to readonly after an error while writing occured).

So there seems to be a connection between Host disk-usage and Guest .vdi-uses.
Filesystem on Host and Guest is ext4.
Maybe Virtualbox can't handle intensive disk-usage on host correctly?

don't know, i guess its more likely Ubuntu 10.10
i remember a long unresolved thread: Ubuntu 10.10 guest freezes randomly
maybe solutions found for fedora freeze could help: Semi-solved: Fedora 13 I/O Freeze and Fedora 14 freezes up.
