in virtualbox 3.8 there's no problem
and now I get critical error

Did you install the Extension Pack How to install Extension Pack?
Also try with 3D/2D turned off.

got the pack already
also tried 3d/2d no 2d no 3d no audio no network
and a fresh install of win08r2 still fail
the 7600.16385.090713-1255_x64fre_server_eval_en-us-GRMSXEVAL_EN_DVD.iso from microsoft website
after 'windows is loading files...' bar finish, the same critical error dialog appears

These kinds of problems that are reproducible should be reported to bugtracker. You will need to setup an account there as it is on a different system.
It would also help if you can post the ticket number here so other can see the progress, add information, or see the final results.

i tested even 64-bit guest won't boot and get guru meditation too
