Unable to Install Windows XP SP3 on Macboo pro

Hi I recently installed Virtual box 3.2.0 and tried installed Windows XP SP3 on it.
I am getting the following error

stop c000021a {fatal system error}
The session manager intialization system process terminated unexpectedly with a status of 0Xc000003a (0X0000000 0X0000000)
The system has been shut down.

This Installation disk is in an OEM version of XP.

I tried upgrading the Virtual Box but still facing the same issue.

OEM versions of Windows won't install under VM in general. They are tied to run on the specific hardware supplied by the OEM and will not run on Virtual Hardware.

but i was able to install this on a HP laptop and this is a Dell OEM windows xp CD
