I'm running VirtualBox 3.08 on Linux with an XP guest. This is in the raw disk partition which also can native boot.

I have a separate VirtualBox profile. At one time I was doing the same thing with Vmware before I switch to VirtualBox. The network does not work, and device manager shows that the network adapter failed to start (Code 10). It identifies the device as a "VMware Accelerated AMD PCNet Adapter". I've tried deleting the device and rerunning the VirtualBox guest additions, but after reboot its back still as a non-functioning VMware device.

How do I get rid of VMware and recognize the PCnet Adapter as a VirtualBox device?

Have you tried to boot the Windows guest in safe mode and then in the device manager tried to uninstall the VMware driver?
Or at least disable it.
You may need to re-install the main VBox program and select repair.
