Hi All,
I had purchased Diskeeper before I had decided to run my M$ WS03 as a virtual machine. Does Diskeeper do any good on a virtual hard drive?

Yes and no.
If you created your VDI as fixed size, then yes.
If you created your VDI as Dynamic (the default), then not as much: you must also periodically sdelete/clonehd/compact/contig* the VDI file as well so that the host VDI file is defraged
