Does this copy of Windows 7 happen to have the XP compatibility mode in it?
That would indicate that it is trying to run the VPC hypervisor and I doubt that it will work in VBox. Although I have not tried this. I will give it a shot here in a bit and let you know for sure.

edit: so is there anything I can do? disable some xp comp. mode or something like that?

Well just got done installing Win7 64bit and it works fine. It may be that you are installing this on a 32 bit guest.
While the PC appears to have hardware-v I have seen issues with trying to install a 64 bit guest on a 32 bit host.

Also you need to read section 1.6. 64-bit guests of the VBox Users Guide for other solutions.

I have the exact same problem.
The VB starts and shows the "Windows Starting" dialogue, however just stops working, doing nothing.
CPU usage is still at 50% for the first core of my host.
I'm hosting Win7 on Vista SP1, wanted to try it out.

I found that there was a fix that includes running 64 bit guests on a 32 bit host that is due out with the next maintenance release which should be out soon. Hopefully this will also take care of your issues. If you still have problems after the release then you should probably consider posting your problem on a ticket that others have started on bugtracker (link is below my post)
