How to convert VMware guest OS to Virtualbox VM

Hello,

I have win2k3 SP2 VMware Server 1.0.3 Server hosting two VMs (both running same version as host). I want to replace VMWare server with Virtualbox 3.0.4 on the same host. Any possibility?
