upgrade problem

I am currently running VirtualBox vs. 2.2.0 on a AMD X64 system using the Windows Vista OS.
The above system works fine with Ubuntu8.1 as originally installed.
I'm attempting to upgrade to a newer version and have downloaded versions of VB 3.x all with the same results.
I attempt to install into a new folder and after the initial installation starts, the execution halts, reverses itself and says there's an installation error?
The latest version 3.0.4 does the same thing as earlier 3.0.x versions.
I have both attempted to upgrade 2.2.0 w/ the latest upgrade and install it separately, both with the same results.
Do I need to uninstall the working version 2.2.0 before attempting to install a newer version?
Or can the upgrades be installed in the same folder as the earlier version?
IF anyone has similar experiences or has any ideas, I'd appreciate your help.

Two things that you can do to see if you can get this installed:

1. Right click on the install program and then left click on run as admin.
or
2a If that fails you need to reinstall version 2.2.0 and select repair. (DO NOT reboot)
2b Run the version 2.2.0 install again and tell it to uninstall (DO NOT reboot)
2c Run the new Version 3.0.2 install and see if it works (This time reboot)

Thanks PerryG for the sound advice.
I did the steps as you suggested and had to uninstall the 2.2.0 version and w/o rebooting installed the 3.x version using a separate folder.
The install went smoothly w/o any error messages and Ubuntu was (somehow) still installed (?)
Guess one can't do an upgrade by overwriting the older version as the uninstall was needed to solve that problem.
Again, much appreciation as I'm still new at virtual imaging, but learning.

You should be able to simply upgrade (at least within the same primary build 3.XX) but Version 2.2.0 had some problems with that.
