Did you remove the OSE version completely before installing the PUEL one? They can't be installed at the same time. It should be removed automatically due to conflicting dependency. Check that, and after you've removed it completely, it's best to reinstall VB-3.0 in case some libraries were removed. The kernel module should be compiled too.

Recompile the kernel module? Is that something seperate from just installing virtualbox-3.0??

A bit. When installing VB, it should be done automatically. But if you don't have the proper tools to create kernel modules, then the installation will fail. Check the Linux Guests forum, where you will see my howto for the GA. The preparations are the same for VB itself. After you've done that, run sudo /etc/init.d/vboxdrv setup to compile the kernel module.

Reinstall the package. If you use the custom VB repo from the website, use sudo apt-get install --reinstall virtualbox-3.0, or if you downloaded the package, dpkg -i <package name>.

VB 3.0.0 PUEL is NOT in the Ubuntu repo. VB has it's own repo which you can add. Last thing you can do is remove VB, purge it (apt-get purge) and reinstall it again.

Correct that, i looked at my original post. I did get it from the vb repo. I have already done the purge and that doesn't solve anything either. I'd settle for SOME version of this program to work again without having to do a fresh install.....

Ok Ok. Its working. I did apt-get remove virtualbox-3.0 then apt-get purge. then installed it.. still nothing. so this time I did the purge without the remove before hand and when I did the subsequent install it magically started the VirtualBox kernel module. and for now at least VirtualBox opens without the error message and runs a vm of vista.....success. just don't ask me why
