Unable to Install Windows 7 64bit Guest

My host OS is Windows 7 64bit Build 7100.
My CPU is an AMD Athlon 64 X2 Dual COre Processor 4800+
2 Gig of ram
Motherboard is an ASUS M2N-E with the latest BIOS

I can install successfully the 32bit Windows 7 guest. However when I install the 64bit windows 7 guest, I get a BSOD with the following error:
STOP: 0x0000007E (0xffffffffc0000005, 0x0000000000000000, 0x fffff880009a8bd8, 0xfffff880009a8430)
The 64GB vm is set with 768MB of Ram. Is Windows 7 64bit a supported guest under windows 7 64bit host? Any hunch what I may need to do to install Windows 7 64bit guest successfully? I'm using VirtualBox 3.0.0.
