VirtualBox 3.0 CentOS Guest 100% CPU Usage when alone

Hi
My VirtualBox 3.0 Host is a CentOS 5.3 64 Bit running on AMD Athlon X2 7750 and I have installed 2 VirtualBox Guest, one is a a CentOS 5.3 64 and the other is a Ubuntu 9.04 64.
I notice some strange behavior of my CentOS 5.3 Guest. When both CentOS and Ubuntu 9.04 are running, the CPU usage is around between 1% ~ 3% for each Guest. But as soon as I shutdown the Ubuntu Guest, the CentOS CPU usage go all the way up to 100%.
Does anyone have the same behavior or know how to fix it?
Note: Both Guest has divider=10 in it's kernel parameters and have the VirtualBox tools installed. Also, they both use 1 CPU, ACPI Enabled and IOAPIC disable. Both using AMD-V and Nested Paging. The Ubuntu have Gnome desktop and CentOS is a LAMP server with no GUI.
