Win2K3 Server Host - XP SP3 Guest Dedicated NIC

Hello all and forgive my nOOb question.
I have installed vBox 2.2.0 onto a 32bit 2003 Server (SBS Standard Edition) with a DUAL nics.
The first NIC is used by the SBS and has a private IP that runs through the Firewalll with NAT enabled.
I disabled the "VirtualBox Bridged Networking Driver" on that particular nic.
The second nic (not used by the SBS server, nor do i want it to be) plugs directly into the cable modem, OUTSIDE the network. In essence in front of my DMZ / and internal network. It has a public IP, I do not however want it to give it a default gateway, as I do not want 2 gateways on the windows 2003 server. I want the WIN XP SP3 guest on the Win 2003 host to have a public IP.
What would be my best option for enableing the 2nd NIC to be used only by the XP host with a public IP and not having the Windows 2003 server attempting to use it?
Any help would be greatly appreceated.
Currently I have not set a default gateway on the 2nd nic physical adapter but have on the virtual one. I cannot access the internet at all.

UPDATE - Well I gave the 2nd nic an IP that was on the INSIDE of the cable modem, but outside my internal firewall / network. No gateway.
Bridged that to the XP guest and the machine can now see the internet.
I also discoverd that manually intering a "shared folders" location vs. searching for it did not cause error.
Being that this XP VBox has a public IP, I changed the windows RDP port to something other than 3389. I was able to RDP yesterday evening, but not today. Firewall changes have been made to the XP firewall, I even tried turning the firewall off in XP guest. My RDP session waits forever before timing out. I've checked routes, ARP, I am stumped.
Any thoughts?
