With 4GbRam
I setup VT on the Bios host
My OS Host Vista Family Premium SP1 32 bit
My OS Guest Ubuntu 8.10 64 bit
I activated on VirtualBox
ACPI
IO APIC
VT-x/AMD-V
When I boot the Ubuntu CD a message tell me:
This kernel requires an x86-64 CPU, but only detected an i686 CPU
Windows Vista 32bit with Linux ubuntu 64bit guest

You also need PAE. Enable that and you should be done.
