Headless vs Head CPU utilization

Hello all,

I'm hoping someone can shed some light on why when I launch an XP vm headless it consumes about a constant 40% cpu utilization with a great deal of pHD disk thrashing, but when I launch the same vm through the GUI VirtualBox control app - it only consumes 2% with hardly any thrashing.

This is most unfortunate - I was hoping Headless would consume even less resources.

Host - Vista Ultimate 64 - Q6600, 8GB Ram, 640GB HD.
Guest - XP Pro SP3, 768mb, 64mb video, 64GB vHD.
