VBox 2.1 on Win 2003 Server: virtual machine fails to start

Problem is: virtual machiens work only once.
After i shut down the VM and start it again, little window with progress bar is shown that says "Starting Some_Virtual_Machine"and progress bar stays at 0% ad infinitum.
After invoking task manager and killing VBox process, virtualbox does not start anymore until system is restarted.
Host OS is Win 2003 server R2 (64bit) with latest virtualbox (VirtualBox-2.1.0-41146-Win_amd64.msi)
Logs does not show much really. Only thing that looks like an error is last 2 lines:
