Finally, I was able to get IPCop 1.4.20 (Linux 2.4) working with VirtualBox 2.1.0.
I downloaded/installed HP's NIC drivers under Windows XP and then I set the dual port NIC card (one for WAN and the other for LAN) using the revised "Host Interface" feature.
In the previous version of VirtualBox(1.6.6), I could never get IPCop to work properly with Linux & Windows XP and support the TWO NICs.
Was there something significant done with the Host Interface Networking and "net filter" driver?
It works great now.
Finally.......

Installed IPCop 1.4.20 firewall/router as a VM using 2.1.0
