Can I run a 64bit guest OS (e.g.Linux) on a 32 bit hostOS (e.g.WinXP) ?

Can I run it regardless whether the underlying hardware is 32bit or 64 bit?

No. Look into the FAQ / User Manual for requirements for 64 Bit Guests.
