Hi,

the host is running on pentium4 2.4GHz

The default Ubuntu server kernel requires PAE which your processor does not support. Please next time first search the forums via Google (like so): This question has been answered numerous times before. From one of the threads you'll see that it's possible to install a different kernel by booting from the CD once more - then it should boot.

Apologies, my mistake. If you've enabled PAE in the machine settings and still doesn't work then I don't know.
