I'm thinking about installing virtual box so I can run Ubuntu inside Windows XP.
I am running a 3ghz dual-core athlon 64 bit, but I am running the 32 bit version of windows XP. Is there any advantage to running a virtual box @ 64 bit, when the host OS is only running at 32 bit? Will my virtual Ubuntu be able to utilize the full 64 bits of processing power, or will 32 bit XP act as a bottleneck?

As far as your Q goes, you need to be running a 64bit OS + having a CPU with VT-x / AMD-V extensions enabled to run a 64bit guest on VBox. So in this case, sorry no.
