VirtualBox-4.3.14 install fails on Win7 32-bit

The install fails with the message in image #1 below (including with anti-virus software disabled).
Failure during install (and after other error if I try run it)

Trying to run it results in the message shown in image #2 below.

I've Googled and looked around the forum and found nothing applicable.
Any ideas?

PS: A previous install required setting XP compatibility mode; no effect this time...
PPS: Windows SFC scan says all system files are AOK.
PPS: This happens even with anti-virus software DISABLED...

As noted twice in my post, this occurs with anti-virus disabled, and yes, I read the sticky-note at the top of this forum. I've switched to VMware, which installed and worked without problem.
