cannot install ubuntu 8.04 desktop on macbook

it keeps saying "kernel error trying to install 86-64 bit kernel but can onl read i868 cpu" or something along those lines. i have virtualbox 1.6.2 also.

Obviously you are trying to install a 64-bit guest. But the current version of VirtualBox does only support 32-bit guests.
If you need to install the 64-bit version for some reason you have to wait for the next release or use the svn-version of VirtualBox.

i have the ubuntu live cd. is there anyway to modify it to 32 bit so that i can install it.

No, you need the 32-bit live cd. You can get a CD image here:

http://www.ubuntu.com/getubuntu/download

Choose "Standard personal computer" not "64bit AMD and Intel computers".
